The Lingua Burea services and technology are provided by Lingua Bureau (“NAME” or “we”), located at Business Center 1, M Floor, The Meydan Hotel, Nad Al Sheba, Dubai, U.A.E.
You consent to these terms by making use of our service. So read them carefully, please.
1. DEFINITIONS
“You” refers to either you personally or, if appropriate, the business or other legal entity you represent.
Visitors to this website or the Service who are not registered users are referred to as “Users.”
Visitors who have signed up for the service and want to use the services are referred to as “Customers.”
All of the Lingua Bureau websites, services, applications, associated technology, and translation services offered to Customers and Translators collectively constitute the term “Service.”
“Quality Levels” are laid out and determined in the Lingua Bureau Quality Policy.
The web interface and platform used by Lingua Bureau, via which you may access your Lingua Bureau Account, place Orders, and use the Service, is referred to as the “Platform.”
The Lingua Bureau Terms of Service and any other rules, guidelines, or documents referred to herein collectively constitute the “TOS.”
Any organization or entity in which Lingua Bureau directly or indirectly holds at least a 50% ownership, equity, or financial interest, including but not limited to its subsidiary Lingua Bureau, is referred to as a “Lingua Bureau Affiliate” in this clause. It includes corporations, partnerships, joint ventures, and limited liability companies worldwide.
2. USING OUR SERVICES
You represent that you have the ability to bind a corporation or other legal entity to perform on this TOS if you are entering into this TOS on their behalf, in which case “You” or “Your” refers to that entity. You may not use the Service or any materials associated with the Service if You lack this authorization or disagree with the terms and conditions of this TOS. You also certify that you are at least 18 years old or the legal age of majority in your jurisdiction.
You consent to:
– Take responsibility for all activity associated with your Lingua Bureau account.
– Your password should remain private.
– Respect whatever guidelines Lingua Bureau provides to you.
– Use our service lawfully and without abusing it.
– Not to disparage or harass Lingua Bureau, its staff, partners, or clients.
– Not open more than one account on Lingua Bureau for whatever reason.
If you do not abide by this TOS or if we suspect misbehavior, fraudulent actions or payment, or a violation of this TOS, Lingua Bureau may suspend or cancel your access to the Service or an Order with or without notice.
The Platform or Service may be changed or suspended by Lingua Bureau at any time and for any reason.
3. ORDERS, APPROVAL, RETURN POLICY
Credits and Account. You must first register as a Lingua Bureau customer and create a Lingua Bureau account before starting an Order. You commit to consistently updating and maintaining the accuracy of all account information. The Lingua Bureau Privacy Policy shall apply to any personal information you supply.
Payment.
The payment will be subject to a gross-up calculation by Lingua Bureau. It means that the payment to Lingua Bureau must be made in cleared funds and without any deductions or set-offs, as well as free and clear of and without deductions for or on account of any taxes, levies, import duties, charges, fees, and withholdings of any kind that are currently or in the future can be imposed by any governmental, fiscal, or other authority unless otherwise required by law. If you are required to make any such deductions, you agree to pay Lingua Bureau any extra sums required to guarantee that it receives the entire amount it would have otherwise received.
Order. The Customer can start an Order by submitting all the necessary information via the Platform.
Cancellations. If a contractor has yet to be hired for the project, the Customer may cancel any Order. It is not unusual for a contractor to accept an Order right away after it has been placed. While waiting for a contractor, a client can try to cancel an Order by clicking the “cancel button” on the Job Details page, or they can email Lingua Bureau customer service at [email protected] to ask whether this is possible. The Order cannot be canceled, and there will be no credit return if a contractor has already picked up the Order.
Order Delivery. Lingua Bureau is unable to guarantee that any contractor will choose to work on your Order, much alone a specific contractor. If a contractor completes the Order, Lingua Bureau will provide the final product to the Customers in accordance with the degree of quality indicated in the Order. Lingua Bureau provides an estimated completion time for the Service but is unable to provide a precise delivery time. When the orders are available for your inspection, we’ll send you an email. Time is not essential for delivery or performance, unless otherwise specifically agreed by Lingua Bureau, and no delay will give you the right to refuse any delivery.
Acceptance or rejection. Customers will have exactly 120 hours to check the delivered Order after Lingua Bureau notifies them that they have been delivered. Through the Platform, the Customer may approve the Order. The Order will be declared “Approved,” and the contractor will be paid for the Order if the Customer does not respond via the Platform within the 120-hour review window. No changes, modifications, or refunds will be made to the orders after they have been “Approved.”
Mistakes during the order completion may happen. If the Customer reasonably judges that the delivered Order does not satisfy the specified Quality Level, the Customer may reject the Order within the 120-hour review period. Following the rejection, we will conduct a quality assessment and usually respond to you the following business day. Lingua Bureau will respect your denial and provide a review if it finds that the Order you rejected did not fulfill the Order’s requirements for quality, or it will permit cancellation of the Order.
Lingua Bureau’s responsibility shall be restricted to fixing the mistakes or giving a refund.
Disclaimer. You expressly agree that Lingua Bureau will not have any responsibility or indemnification obligations to you based on the Order if you fail to examine any Order before making such material public.
4. CONTRACTORS.
To provide you with the Service, Lingua Bureau may hire and work with Contractors. You acknowledge that Lingua Bureau may sublicense its rights under this TOS to third parties that work for Lingua Bureau, so long as such third parties are contractually obligated to uphold the same level of customer protection as this TOS. Lingua Bureau is fully in charge of paying any independent contractors and addressing any disagreements with them.
5. CLIENT MATERIALS DISCLOSURE
We reserve the right to disclose the Client Materials to potential contractors to provide you the Service and as determined forth in Section 6 below.
If you do not want to expose any private or personally identifying information in the Supplied Materials, you are entirely responsible for altering or deleting it.
6. INTELLECTUAL PROPERTY
Upon Customer’s approval of the Order and Your compliance with this TOS, all intellectual property rights on the Order will be given to Customer.
The terms “Lingua Bureau,” “Lingua Bureau,” and “Communicate Freely” are trademarks of Lingua Bureau. Trademarks include company names, logos, and service marks. Without Lingua Bureau’s prior written consent, nothing in these TOS will be interpreted as conferring any license or right to use any trademark. Intellectual property laws prevent unauthorized duplication, distribution, modification, publication, or transmission of the Service’s content.
Trademarks and other material from third parties that are presented on the Service are the property of their respective owners, and their whole or partial duplication requires the owner’s prior written consent.
You grant Lingua Bureau a worldwide, perpetual, royalty-free, irrevocable license to publish and display your Client Materials and associated Order byproducts in connection with operating, marketing, and improving our Services if you agree to let Lingua Bureau use your Orders as “public examples.” Even if you stop using our Services, this license remains in effect.
We may utilize any comments or recommendations you make regarding our Services without having to comply with any of them.
We (and those we work with) may use your Client Materials and Orders to generally improve the Services (for instance, fine-tune our turn-around time estimates or improve machine learning systems) and develop new products or services either independently or in collaboration with third parties. It is done in order to offer you and our other customers the best possible product. If we do, we never divulge any of your Client Materials or Orders to the general public.
7. APIS AND PROPRIETARY SOFTWARE
The Lingua Bureau Materials are considered to be a part of the Service and may include APIs or software to make the Service easier for you to use. If you decide to utilize these Lingua Bureau Materials, Lingua Bureau hereby grants you a personal, worldwide, royalty-free, non-assignable, and non-exclusive license to use the Lingua Bureau Materials solely for the purpose of enabling you to utilize and benefit from the Services as provided by Lingua Bureau, in the manner permitted by these terms. You are not permitted to reverse engineer or try to extract the source code of our Service or Lingua Bureau Materials. Nor are you permitted to copy, alter, distribute, sell, or lease any component of our Service or Lingua Bureau Materials. The Lingua Bureau Materials’ performance and availability are not guaranteed by Lingua Bureau. Your use or access may be restricted at any moment.
8. WARRANTIES AND DISCLAIMERS
Customer guarantees that they own the required rights to the client materials, that no third parties’ rights will be violated, that no laws will be broken, and that no objectionable or undesirable content is present.
The Services are offered “AS IS.” NO SPECIFIC PROMISES ABOUT THE SERVICES ARE MADE BY THE COMPANY NAME, ITS CONTRACTORS, OR SUPPLIERS EXCEPT AS EXPRESSLY SET FORTH IN THESE TERMS OR ADDITIONAL TERMS. WE DO NOT MAKE ANY COMMITMENTS ABOUT THE SERVICES’ CONTENT, SPECIFIC FUNCTIONS, RELIABILITY, AVAILABILITY, OR ABILITY TO MEET YOUR NEEDS. THE SERVICES ARE PROVIDED “AS IS.”
CERTAIN WARRANTIES, SUCH AS THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, ARE PROVIDED FOR BY SOME JURISDICTIONS. WE EXCLUDE ALL WARRANTIES TO THE EXTENT PERMITTED BY LAW.
9. INDEMNITY
Customer agrees to indemnify and hold harmless Lingua Bureau, its affiliates, present and former directors, officers, and employees from and against any and all claims, taxes, losses, damages, liabilities, judgments, settlements, costs, and expenses, including attorneys’ fees and other legal costs, resulting directly or indirectly from or in connection with: (1) Customer’s breach of any of its representations, warranties, or obligations under this TOS; (2) Customer’s negligent, careless, or intentional wrongdoing.
10. LIABILITY LIMITATION
In no event shall either party or any Lingua Bureau affiliates be liable for any indirect, incidental, special, or consequential damages, lost profits or lost business, however caused and under any theory of liability, whether based in contract, toll (including negligence), or other theory of liability, regardless of whether either party was advised of the possibility of such damages and despite the failure of any limited remedy to satisfy its essential purpose.
THE AMOUNT PAID BY THE CUSTOMER TO THE COMPANY NAME DURING THE 12-MONTH PERIOD PRIOR TO THE EVENT GIVING RISE TO LIABILITY WILL IN NO EVENT BE THE MAXIMUM AMOUNT OF COMPANY NAME’S OR COMPANY NAME AFFILIATES’ LIABILITY HEREUNDER.
11. GENERAL
This TOS may be changed at any moment by Lingua Bureau. You should often review the terms. You should stop using a Service if you do not agree to the new terms of that Service.
When an Order’s provisions contradict those in this TOS, the Order will be examined independently to determine the nature of the issue.
The relationship between Lingua Bureau and you is governed by these TOS. No third party beneficiary rights are created by them.
If you violate our Terms of Service and we don’t take immediate action, it doesn’t indicate that we are waiving any rights we may have in that situation (such as taking action in the future).
No other terms will be affected if it turns out that a particular phrase is not enforceable.
This Agreement cannot be assigned, transferred, or delegated in any way without Lingua Bureau’s prior written approval. Any part of this Agreement may be assigned, transferred, or delegated by Lingua Bureau with or without notifying You. Without Lingua Bureau’s Agreement, any attempt you make to assign, transfer, or delegate this Agreement will be invalid.
12. Cookie Policy
By using our website, you consent to us accepting some types of cookies on your computer, so we may access them the next time you visit. Your browser’s “help” menu should have directions on how to find the file or location where cookies are stored if you wish to remove any existing cookies from your machine. Please be aware that removing or deactivating subsequent cookies may damage your user experience and prevent you from using some features of the Lingua Bureau site.
